Non-Disclosure Agreement

This Agreement sets out the terms on which My Arbitration Counsel (MAC) has agreed to abide by this Agreement with respect to Confidential Information (defined below) concerning any transaction with every individual seeking services provided by MAC.

For the purpose of this agreement the "Confidential Information" shall mean any and all information disclosed to, or otherwise acquired or observed by MAC including but not limited to business plans, products, technical data, specifications, documentation pertaining to dispute of any nature whatsoever between any parties and intersay correspondence between the parties including but not limited to documents transmitted via electronic media, rules and procedures, contracts, presentations, know-how, product plans, business methods, product functionality, services, data, customers, markets, competitive analysis, databases, formats, methodologies, applications, developments, inventions, processes , payments, delivery and inspection procedures from the disclosing party after the completion of preliminary evaluation stage.
arbitration counsel, contracts It is clarified that there shall be no restrictions under this Agreement with respect to any portion of the Confidential Information which:
 
 
At the time of its disclosure by the disclosing party is already in the public domain or which subsequently enters the public domain.
 
Was known to the recipient prior to the disclosure thereof by the disclosing party as evidenced by the recipient's tangible records.
 
Is disclosed to the recipient by a third party who, to the recipient's knowledge, is not bound by any confidentiality agreement with the other party to this agreement prohibiting such disclosure.
 
Is developed by the recipient independently of any disclosures made hereunder, as evidenced by the recipient's tangible records.
 
Is required to be disclosed by Applicable Law, provided, that, the recipient party shall give prompt written notice to the disclosing party of any such requirement to make such disclosure.
 
Is already known to the Receiving Party (as evidenced by written records) at the time of its disclosure by the disclosing arty and was not otherwise acquired by the receiving. Party from the disclosing party under any obligations of confidence or from any third party in breach of an obligation of confidence owed by that third party to the disclosing party.
  Is disclosed with the prior written approval of the disclosing party.
  Is disclosed during the preliminary evaluation stage.

Indian law governs this Agreement. This Agreement contains the entire understanding of the parties in respect of its subject matter.

In case of any dispute between the parties hereto, the same shall be referred to Arbitration under the Arbitration and Conciliation Act 1996, before a sole Arbitrator and the venue shall be Mumbai.
